1. Acceptance of Terms
By accessing or using TachyonTracker (“the Service”), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. These terms apply to all users including visitors, registered users, and paying customers.
2. Description of Service
TachyonTracker provides contractor compliance tracking, document management, AI-powered document parsing, compliance alerts, and contract risk analysis. We reserve the right to modify or discontinue features with reasonable notice.
3. Account Registration
You must provide accurate information when creating an account. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You must be at least 18 years old to create an account.
4. Subscription & Payments
Paid plans are billed in advance on a monthly or annual basis. All prices are in USD. A 14-day free trial is available for new accounts. Trials do not require a credit card. At the end of the trial, you may choose a paid plan or your account will remain on limited free access. We use Stripe for payment processing. Payments are non-refundable except as required by law.
5. Cancellation & Termination
You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period. We may suspend or terminate accounts that violate these Terms or are inactive for an extended period.
6. User Content
You retain ownership of all documents and data you upload. You grant us a limited license to process, store, and display your content solely to provide the Service. You are responsible for ensuring you have the right to upload any documents containing third-party information.
7. AI Processing
Our AI features provide automated analysis and extraction from documents. AI results are provided “as is” and should not be relied upon as legal or compliance advice. You should verify all AI-extracted data before relying on it for compliance decisions.
8. Acceptable Use
You agree not to: misuse the Service or its resources, upload malicious files, attempt to access other users' data, reverse-engineer the Service, or use the Service for any unlawful purpose. We reserve the right to investigate and take action against any misuse.
9. Intellectual Property
The Service, including its software, design, and branding, is owned by de Montfort LLC and protected by intellectual property laws. Our trademarks and trade dress may not be used without written permission.
10. Limitation of Liability
To the maximum extent permitted by law, de Montfort LLC shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, even if advised of the possibility of such damages. Our total liability shall not exceed the amount you paid in the 12 months preceding the claim.
11. Warranty Disclaimer
The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement.
12. Indemnification
You agree to indemnify and hold harmless de Montfort LLC from any claims, damages, or expenses arising from your use of the Service or violation of these Terms.
13. Governing Law
These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Delaware.
14. Changes to Terms
We may update these Terms from time to time. We will notify you of material changes via email or a notice on our website. Continued use of the Service after changes constitutes acceptance.
